We are currently seeking a Corporate Counsel - Federal Contracts, to work in a hybrid capacity to provide full lifecycle contract management across Eagle Hill's contracts portfolio.
This individual will be responsible for drafting, reviewing, interpreting, and negotiating a variety of agreements, including consulting agreements with both federal and commercial entities, confidentiality agreements, third-party agreements, vendor contracts, and various other contracting instruments.
The Corporate Counsel - Federal Contracts will also be responsible for compliance with relevant laws and regulations and required reporting.

The Corporate Counsel - Federal Contracts reports directly to the General Counsel, managing contractual review and processes with new and existing clients, prime and subcontractors, vendors, and partners.
The Corporate Counsel - Federal Contracts will also support the implementation of a contracts management system.

Responsibilities Include:

• Contracts Development, Negotiation, and Administration
  
  • Review, negotiate, interpret, and advise on all contracts for a national management consulting firm (a federal contractor), including commercial and federal contracts and GSA schedules
  • Review and negotiate terms and conditions of all types of contractual agreements - Non-Disclosure, Teaming Agreements, Subcontract agreements, MSAs, Independent Contractor Agreements, Task Orders, SOWs, modifications, to ensure compliance with established legal policies and standards
  • Work with finance department on pricing, accounting, or revenue recognition contract requirements
  • Facilitate execution of contract documents
  • Facilitate dispute resolution to mitigate risks and protect company interests
  • Collaborate with business group, senior leadership as well as internal operations functions
  • Serve as primary point of contact for contract-related inquiries and issues
• Risk Management and Compliance
  • Ensure that all contract terms and conditions comply with legal requirements, customer specifications, company policy and procedures and government regulations, including FAR
  • Act as an advisor regarding legal requirements, customer specifications, and government regulations to firm management
  • Manage contract reporting compliance requirements for GSA schedules and other contract vehicles
  • Analyze solicitations and provide proposal guidance support; manage representations and certifications
  • Oversee and manage internal firewalls and conflict of interest mitigation strategies
  • Analyze and mitigate risk for the business during every contract negotiation
• Process Improvement:
  
  • Help to assess and implement contracts management tools, including a contracts management system
  • Develop and implement contracts management best practices, including tools, templates, and processes
  • Continuously improve contracts management processes
  • Provide training and guidance to employees on contract management procedures

What are the Required Qualifications?

• A minimum of 5 years of experience drafting, reviewing, and negotiating Federal professional services contracts
• A minimum of 5 years of experience managing compliance and reporting requirements for a federal contractor, including GSA schedules
• Extensive knowledge of the Federal Acquisition Regulations (FAR), task order contracts, purchase orders, blanket purchase agreements (BPA), and GSA schedules
• Experience using contracts management system for a federal contractor
• Expert skills in contract, written and verbal negotiation
• Ability to multi-task on strategic initiatives, and day-to-day contractual processes
• Superb communication skills and can manage tight deadlines
• JD degree

What are the Desired Qualifications?

• Experience with drafting, reviewing, and negotiating commercial contracts
• Experience with federal protests
• Experience supporting the implementation of a contract management system
• Experience using customer relationship management software (e.

• Familiarity with data privacy regulations, both domestic and international (e.

  , GDPR)
• CPCM certificate, or related contracts certification highly desired

Compensation:
A reasonable expectation for a salary range is $120-150K Base + Bonus.
