Position Summary
Caris is looking for a skilled and experienced Stock Plan Administrator to join an expanding Legal team and play an integral part in supporting fast-paced company growth. This role will manage our equity compensation plans including employee stock purchase plans (ESPPs). This position is crucial in supporting our transition towards becoming a larger and more complex organization and leading an area with a significant and direct impact on Caris employees.
In this role you will collaborate cross-functionally with our Finance, HR, and Legal teams, as well as will drive communication and education to ensure plans operate smoothly and our employees are well educated and informed about our equity programs and processes.
The ideal candidate should be detail-oriented, highly motivated, have effective time and project management skills, be enthusiastic about building cross-functional relationships within the organization and have a strong appreciation for data accuracy and integrity.
Job Responsibilities
Manage the administration and operation of Caris's equity compensation programs including stock options, RSUs and performance awards.
Manage all participant equity plan transactions (grants, exercises, terminations, leaves, etc.) and ensure that they are correctly processed by our equity systems platform and that information is correctly input and coded.
Support the development, approval and implementation of periodic equity grants and the associated documentation and manage periodic vesting and settlements across large numbers of employees.
Manage ESPP enrollment, contributions, withdrawals, and purchases, and ESPP statements.
Assist in the preparation of reports for management and the Compensation Committee of the Board regarding equity plans and grant analysis, including periodic and ad-hoc custom reports on share plan activity, plan availability and capacity.
Collaborate with cross-functional teams to develop and implement improvements and process changes.
Work closely with outside service providers such as the plan administration platform, transfer agent, accounting firm and legal counsel as needed.
Serve as a primary point of contact for employees regarding equity compensation.
Help create and implement communications to employees regarding equity awards programs, policies, and program changes.
Support or prepare Section 16 reporting and other SEC disclosures, including portions of proxy statements, ensuring proper data translation from equity platform into SEC filings.
Maintain supporting documents for internal/external SOX auditors and respond accurately, thoroughly and timely to requests for data.
Support the process for establishing trading windows and implementing pre-clearance for stock trades for certain directors and officers.
Required Qualifications
Bachelor's degree required.
At least one year of experience as an in-house equity plan manager at a publicly traded company.
Strong mathematical, organizational and analytical skills.
Familiarity with basic accounting and tax principles.
Interested in building new processes and continuous improvement.
High level of integrity and confidentiality.
Ability to drive performance and maintain patience and diligence in periodic quick turnaround events, managing complex workflows and communications streams.
Strong experience in one or both of accounting, compensation or finance.
Strong customer service focus and good communications skills, as the role will involve addressing inquiries from employees.

Preferred Qualifications
Experience managing equity administration through a system such as ShareWorks, Equity Edge Online, Carta, and/or associated broker platforms such as Fidelity, e-Trade or Schwab.
Familiarity with key regulatory and accounting issues related to equity plans and ESPPs.
Ability to proactively build internal and external relationships, comfort with interactions at all levels of an organization as well as outside advisors.
Experience supporting and owning elements of equity-related SEC filings such as Section 16 forms and equity reporting within proxy statements.
Certified Equity Professional designation.
Physical Demands
Must possess ability to sit and/or stand for long periods of time. Must possess ability to perform repetitive motion.
Ability to lift to 25 pounds.
Majority of work is performed in a desk/cubicle environment.
