What We're Looking For Licensure:
Active bar membership in good standing in any U.S.
jurisdiction.
Ability to practice federal securities law across jurisdictions.
Experience:
In-depth knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934, including their regulatory frameworks and compliance requirements.
Strong expertise in drafting and reviewing S-1 registration statements and other SEC filings.
5 years of relevant securities law experience preferred; however, we are willing to train motivated attorneys with a strong foundation in corporate law.
Familiarity with SEC compliance, corporate governance, and public offerings.
Experience working with Japanese clients is a plus but not required.
Billable Hours:
Comfortable meeting 150-175 billable hours per month, with the flexibility to manage your time effectively.
Skills:
Well-versed in securities regulations and confident in advising clients on compliance, transactional matters, and regulatory filings.
Strong drafting, research, and analytical skills, particularly in SEC filings and disclosure documents.
Excellent communication and collaboration skills in a remote work environment.
What You'll Do Draft, review, and file S-1 registration statements and other SEC filings, ensuring compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934.
Advise clients on securities compliance, including IPOs, public and private offerings, and corporate transactions.
Provide guidance on corporate governance best practices and evolving regulatory requirements.
Collaborate with clients and team members to deliver practical, business-focused legal solutions.
Build strong relationships with clients while maintaining a high standard of professionalism.
