As General Counsel, you will be the cornerstone of our legal framework, driving internal processes, compliance, governance, and strategic decision-making.
Reporting directly to the CFO, you'll navigate the complexities of a public company while enabling scalability for our global ambitions.
You will be leading a team of three legal counsels specializing in different areas (e.
g.
commercial and data privacy).
Key ResponsibilitiesSaaS Legal ExpertiseManage legal processes, from internal reviews to external partnerships, tailored for the SaaS landscape.
Oversee customer and vendor contracts, including public-facing terms and conditions.
Corporate GovernanceLead corporate governance processes, including policy development and compliance with Euroclear requirements.
Manage Annual and Extraordinary General Meetings, adhering to listed public company regulations.
Compliance and Risk ManagementOwn internal control and risk management frameworks, including committee involvement (Risk Committee, Enterprise Forum).
Incentive Programs, Share transactions and Shareholder CommunicationDesign and manage cross-border incentive programs and cap tables.
Handle shareholder relations and board documentation, including inaugural meetings and incentive program allocations.
Manage legal side of share transactionsLead legal workstreams in projects related to raising capital (if deemed needed)Safeguard our intellectual property, including brand assets and potential patents.
Employment LawWork closely with the People & Culture department in employment law related matters (which is owned by People & Culture)Oversee employment-related legal matters and contract templates.
Scalability and EfficiencyDevelop scalable legal operations, ensuring processes align with business growth.
Build for the long termProfessional Experience and QualificationsLaw degree with 10+ years of experience in corporate lawExperience from working in a B2B SaaS companyStrong leadership skills, experience from leading a team, preferably in a high-growth or tech environmentEnglish is our corporate language so a high level of English proficiency is requiredA bonus if you have experience within:
